Cross border services

The steady resumption of normal traveller clearance and of trade between Mainland, Hong Kong and Macau is the most exciting news in the past three years, since we are finally able to expand our business in the Greater Bay Area and better integrate into the overall development of our country. As described by Mr. Leung Chun-ying, the resumption of clearance could be said to be “God helping those who help themselves”. Three years ago, we established a joint venture law firm in Nansha, Guangzhou alongside our partners Guangdong Kingbridge Law Firm and Kuong Lok Kao Advogados of Macau, to provide a myriad of cross-border legal services to our clients, with the motto “Work for perfection and excellence wholeheartedly”. We have provided cross-border legal services in the following areas:-

Cases:

1. Assisting Hong Kong clients to inherit Mainland estates (real estate, bank deposits, etc.) smoothly;
2. representing a state-owned China logistics company in the acquisition of a Hong Kong company holding land in the New Territories for a consideration of approximately HK$220 million and conducting due diligence on the said company and the land;
3. advising on the disposal of the entire issued share capital of a Hong Kong company with Mainland subsidiaries, involving a transaction consideration of over RMB70 million;
4. advising on the sale of shares in a Hong Kong private company in exchange for shares in a European listed company operating in the environmental field at a price equivalent to approximately HK$42 million of listed company shares and HK$90 million of profit sharing;
5. undertaking mergers and acquisitions and due diligence of listed and private companies and advising on the Securities and Futures Ordinance, Chapter 571 of the Hong Kong Ordinance;
6. advising clients who are minority shareholders of companies on their rights and assisting them to exit their businesses;
7. advising clients of listed companies on unusual movements in the price or trading volume of securities on the Stock Exchange of Hong Kong;
8. assisting clients in fulfilling the continuing disclosure requirements of the Listing Rules of the Stock Exchange of Hong Kong Limited; and
9. reviewing and commenting on clients’ annual and interim reports.
