When a company listed in Hong Kong intended to revise their company name, the company should comply relevant requirement and procedures under relevant jurisdiction of its incorporation, Companies Registry and the Stock Exchange of Hong Kong (“HKEx”).

 

Stage 1: Extraordinary General Meeting or Annual General Meeting

The board of the company can pass a resolution and propose the listed company to consider whether it also changes it short name and website with reasons for the proposed change of company name. The proposed change will be subject to passing extraordinary general meeting or annual general meeting of the company and the registrar of company of relevant jurisdiction and Companies Registry in Hong Kong.

 

The listed company will be required to issue announcement to proposal for the change of company name and held an extraordinary general meeting or annual general meeting for shareholders to approval for the change of name. The listed company shall comply with Rule 13.40 of the Listing Rules, the poll result announcement should indicate if there is any shareholder abstain from voting for this resolution (if applicable).

 

Stage 2: Approval  

The listed company shall obtain the certificate of change of name from the jurisdiction of incorporation and a legal opinion issue from the jurisdiction of incorporation to confirm compliance of the law of relevant jurisdiction. Thereafter, the company shall file From NN10 to the Company Registrar as a registered non-Hong Kong Company.

 

With all the supporting documents, the draft announcement will be required to be approved by HKEx. The company shall submit the documents checklist DR011 with e-submission for the HKEx for approval. When HKEx approves, the date for the change of name on HKEx website will be confirmed and the Company shall announce if there are arrangements for exchange for share certificates under the new name and inform the numbering agency for the change of ISIN number.

 

In general, the change of listed company name require approximately 3 to 6 months to complete the whole process subject to obtaining approval from relevant authorities.
